By purchasing and/or installing any of The Scripts Joint Software or Products, or using our Software or Products in any way, you, the Licensee, agree to be bound by the conditions and terms of The Scripts Joint License Agreement.

If you, the Licensee, do not agree to all the conditions and terms of The Scripts Joint License Agreement, do not purchase The Scripts Joint Software or Products. If you, the Licensee, have purchased The Scripts Joint Software or Products and do not agree to all the terms and conditions of The Scripts Joint Software or Products you, the Licensee, must destroy all copies of The Scripts Joint Software or Products (including concomitant documentation and support files) immediately.

1. GRANT
The Scripts Joint grants you, the Licensee, a non-exclusive license to use The Scripts Joint Software or Products or Documentation you have purchased within the following guidelines:

A. No part of The Scripts Joint Software or Products or Documentation may be reproduced or transmitted in any form or by any means including but not limited to: electronic, mechanical, or otherwise, without prior written permission of The Scripts Joint. You are granted the right to install The Scripts Joint Software or Products on your server for the use it was designed for. You may not upload The Scripts Joint Software or Products or Documentation you have purchased in any form that makes the actual scripts downloadable or readable to the world. You may not resell The Scripts Joint Software or Products in any form.

B. SPECIFIC LICENSE GRANTS:

a. Single Site License grants the Licensee, the right to install and use one copy of purchased The Scripts Joint Software or Products or Documentation for the purpose they were designed on a single domain for which you have been contracted to develop or own. You may not privately or publicly resell The Scripts Joint Software or Products or Documentation as a stand alone product or in any other form. Unless otherwise stated, all software sold by The Scripts Joint is sold with a Single Site License.

b. Five Site License grants the Licensee, the right to install and use one copy of purchased The Scripts Joint Software or Products or Documentation for the purpose they were designed on five domains or sub-domains for which you have been contracted to develop or own. You may not privately or publicly resell The Scripts Joint Software or Products or Documentation as a stand alone product or in any other form.

c. Developer's License grants the Licensee, the right to install and use one copy of purchased The Scripts Joint Software or Products or Documentation for the purpose they were designed on an unlimited number of domains or sub-domains for which you have been contracted to develop or own. You may not privately or publicly resell The Scripts Joint Software or Products or Documentation as a stand alone product or in any other form.

C. With the exception of variables intended to be altered you may not alter The Scripts Joint Software or Products or Documentation without written permission from The Scripts Joint.

D. You may not use this product in ways that may be deemed unlawful by the government under which your usage of The Scripts Joint Software or Products or Documentation falls.

E. You may not resell any part or all of The Scripts Joint Software or Products or Documentation under a different name.

F. You agree to keep in confidence and protect the Software from unauthorized copying or use.

G. You may not remove the copyright notices embedded in the scripts.

H. You may not syndicate or broadcast or distibute our software without our written permission.

2. TITLE

Title, all ownership and intellectual property rights in and to The Scripts Joint Software or Products or Documentation shall remain The Script Joints. The Scripts Joint Software, Products and Documentation is protected by the copyright laws of the United States and international copyright treaties.

3. LIMITED WARRANTY

The Scripts Joint warrants The Scripts Joint Software or Products or Documentation for a period of thirty days from the day of purchase that if used as instructed, The Scripts Joint Software and Products will substantially attain functionality it was designed to produce. The Scripts Joint does not warrant that The Scripts Joint Software or Products will be error-free or secure or that use of The Scripts Joint Software or Products will not be interrupted.

4. PURCHASER REMEDIES

The Scripts Joint's liability for any breach of the warranty above shall be at The Script Joint's discretion to:

1) Advise you, the Licensee, how to substantially attain the functionality The Scripts Joint Software and Products were designed to achieve.

2) To install The Scripts Joint Software or Products you, the Licensee, have purchased for you, the Licensee, at a reasonable rate.

3) To refund the fee you, the Licensee, paid for The Scripts Joint Software or Products if principals of The Scripts Joint deem your claim valid. Because The Scripts Joint Software or Products is essentially Intellectual Property, The Scripts Joint is not bound to refund any fees to any Licensee.

5. The Scripts Joint disclaims all other warranties.

6. All The Scripts Joint Software, Products and Documentation is provided under license and may only be used within the framework of the License granted.

7. LIMITS OF LIABILITY

UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL THE SCRIPTS JOINT BE LIABLE TO YOU, THE LICENSEE, OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

8. TERMINATION OF AGREEMENT
A. This agreement is terminated immediately if you, the Licensee, fail to comply with it in any way. The Scripts Joint has the right to take any action it deems necessary to protect property it or any of its agents hold title to.

9. This agreement is governed by the laws of the State of Florida and The United States of America.

10. We reserve the right to decline any sale we deem not in the best interest of The Scripts Joint and/or its agents.
